Last updated: October 21, 2026

Effective date: October 2, 2026

These Business Partner Terms ("Terms") govern the relationship between PT Digital Platform Nusantara ("Baiyar", "We") and any individual or business entity that uses Baiyar's Service for business purposes ("Business Partner" or "You"). By creating an account, submitting for verification, creating a project, using the API, activating Production, or otherwise using Baiyar's Service, you confirm that you have read, understood, and agree to these Terms. These Terms must be read together with the Acceptable Use and Prohibited Business Policy, the Buyer Terms, the Refund, Cancellation & Dispute Policy, the Privacy Policy, the Cookie Policy, and any other terms applicable to a particular Service.

Table of Contents

1. About Baiyar

Baiyar is a technology platform and payment funds intermediary. Baiyar helps a Business Partner create and manage Payment Links, Checkout, API integrations, Transactions, and reports, and receives payments from Customers and pays the proceeds out to the Business Partner.

Baiyar works with one or more Payment Providers to offer payment methods and related services. A Customer's payment is received through a Payment Provider, and the funds stay with the Payment Provider until they are paid out. Baiyar records the Business Partner's entitlement to those funds in Baiyar's system as the Balance.

The availability of payment methods, features, processing schedules, Transaction limits, and operational terms may vary based on the Service configuration, the Business Partner, the type of Transaction, the Payment Provider, and other factors.

Baiyar is not a bank, deposit account, e-wallet, or investment product. The Balance is not a deposit, earns no interest, and is not electronic money. The Balance is a record of the Business Partner's claim on funds held with a Payment Provider, which are paid out under these Terms.

Baiyar is not the seller of the Business Partner's products or services and does not act as Merchant of Record. The seller in every Transaction is the Business Partner (see section 8).

Balance information and the Transaction or Payout values shown in the dashboard are a system record based on Transaction data available to Baiyar and may change due to cancellations, refunds, chargebacks, adjustments, Fees, corrections, or other events.

  5. provide the payment or account information required to receive a Payout;
  6. agree to these Terms, the Privacy Policy, and the Acceptable Use and Prohibited Business Policy;
  7. meet Baiyar's and the applicable Payment Provider's requirements.

If a Business Partner acts on behalf of a business entity, the Business Partner confirms it has the authority to bind that entity to these Terms.

Baiyar may refuse registration or restrict use of the Service if these requirements are not met.

4. Account Registration

A Business Partner must provide accurate, complete, and up-to-date information when creating an Account.

That information may include:

  1. name and email address;
  2. phone number;
  3. identity of the business owner or representative;
  4. business name and address;
  5. type of products or services;
  6. website or sales channels;
  7. business documents;
  8. account or Payout method information;
  9. estimated Transaction volume;
  10. information about the business activity;
  11. other information required for review.

A Business Partner must not:

  1. create an Account using a false identity;
  2. use another party's identity or documents without authorization;
  3. provide misleading information;
  4. conceal the beneficial owner or the party actually operating the business;
  5. create an Account for a party previously suspended, without Baiyar's approval;
  6. give Account access to an unauthorized party.

A Business Partner must update its information when a material change occurs.

Baiyar is not responsible for issues arising from a Business Partner's failure to update required information.

5. Verification and KYC

Baiyar may require a Business Partner to complete KYC before granting access to Production, Payouts, or certain features.

KYC review may include:

  1. identity verification;
  2. review of business documents;
  3. review of beneficial owners;
  4. review of the account or Payout method;
  5. review of the website and business activity;
  6. risk analysis;
  7. review of identity photos and selfies;
  8. review of the source or characteristics of Transactions;
  9. other review necessary to prevent fraud and abuse.

Baiyar may use automated checks, OCR, identity matching, risk scoring, and review by staff.

The result of an automated check is not always the final decision.

Baiyar may:

  1. approve the submission;
  2. request corrections or additional documents;
  3. decline the submission;
  4. request re-verification;
  5. restrict or revoke Production access;
  6. conduct further review based on a change in information or risk.

KYC approval does not mean Baiyar guarantees the legality, quality, security, or continuity of a Business Partner's business activity.

A Business Partner remains responsible for its business activity and any permits it requires.

6. Sandbox and Production

A Business Partner may use Sandbox to test an integration without processing real payments.

A Business Partner may only use Production after meeting the requirements Baiyar specifies, including KYC and Project review where required.

Data and Transactions in Sandbox have no real payment value.

A Business Partner must not present Sandbox test results as evidence of an actual payment.

Baiyar may restrict Production access based on:

  1. KYC results;
  2. the type of business;
  3. Project review results;
  4. Payment Provider requirements;
  5. security risk;
  6. suspected violations;
  7. a change in business profile;
  8. applicable legal requirements.

7. Scope of the Service

Baiyar may provide some or all of the following functions:

  1. a dashboard;
  2. Payment Link;
  3. Checkout;
  4. a Payment API;
  5. Transaction recording;
  6. notifications and webhooks;
  7. Transaction and Payout information;
  8. reports and history;
  9. Payouts;
  10. customer support;
  11. other features Baiyar introduces from time to time.

Feature availability may vary based on Account status, business type, Project, environment, payment method, Payment Provider, and other factors.

Baiyar may add, change, restrict, or discontinue a feature.

If a change has a material impact on use of the Service, Baiyar will endeavor to provide notice through the dashboard, email, or other available means.

8. Relationship Between the Parties

The Business Partner is the seller of products or services to the Customer. The sale or service agreement is made directly between the Business Partner and the Customer. Baiyar is not a party to that agreement, is not the seller, provider, or producer of the products or services, and does not act as Merchant of Record.

The Business Partner is responsible for the products or services it offers, pricing, delivery or fulfillment, quality, warranty and after-sales service, refunds for products or services, taxes on its sales, and its other obligations to the Customer under law.

Baiyar provides the technology, the route for receiving payments through Payment Providers, record-keeping, and the payout of funds. The Business Partner appoints Baiyar to receive Customer payments in its name and for its benefit through Payment Providers. A Customer payment confirmed as successful through the Service is treated as payment to the Business Partner for the related Transaction.

A Payment Provider is an independent party. The Payment Provider's terms, licenses, and checks apply to the use of its payment methods, and the Business Partner may be required to comply with them.

Nothing in these Terms, by itself:

  1. states that Baiyar is a bank;
  2. states that Baiyar holds a particular license or status that is not expressly stated;
  3. alters the legal relationship between the parties beyond what is set out in these Terms or an applicable agreement; or
  4. shifts a responsibility that rests on a party under law or agreement onto another party.

Where a Service has specific terms governing its relationship with a Customer or Business Partner, those specific terms apply to that Service.

10. API and Credentials

Baiyar may provide API keys, access tokens, webhook secrets, or other credentials to a Business Partner to access the Service.

A Business Partner must:

  1. keep credentials secure;
  2. limit access to parties who need it;
  3. use credentials appropriate to the environment;
  4. rotate credentials if a leak occurs;
  5. comply with documentation and usage limits;
  6. ensure its integration does not harm a Customer or any other party.

A Business Partner must not:

  1. place credentials in frontend code;
  2. store credentials in a public repository;
  3. sell, rent, or lend credentials;
  4. attempt to circumvent usage limits;
  5. use the API to access another party's data without authorization;
  6. conduct security testing without written permission;
  7. use an endpoint not intended for Business Partners.

Activity carried out using a Business Partner's credentials may be treated as the Business Partner's activity until the Business Partner reports a compromise and Baiyar takes the necessary security measures.

11. Transaction Processing

A Customer may select from the payment methods available on Checkout or the payment channel provided.

The availability of a payment method may change based on:

  1. the Business Partner's configuration;
  2. the Transaction value;
  3. service status;
  4. the Payment Provider's terms;
  5. maintenance;
  6. security risk;
  7. restrictions from a bank or payment instrument issuer.

A Transaction may have a status such as awaiting payment, succeeded, failed, expired, cancelled, refunded, or another status shown in the system.

A Business Partner must not treat a payment as complete based solely on:

  • a screenshot;
  • a message from a Customer;
  • unverifiable proof of payment; or
  • other information that does not come from an official source at Baiyar or the Payment Provider.

A Business Partner must check a Transaction's status via the dashboard, API, or webhook before fulfilling a Transaction where such verification is required.

If there is a discrepancy between information on the Business Partner's side and Baiyar's system records, Baiyar may review the Transaction data and information from the Payment Provider to determine the applicable Transaction status.

12. Fees

Baiyar may charge:

  1. Transaction fees;
  2. payment method fees;
  3. Payout fees;
  4. service fees;
  5. applicable taxes;
  6. other fees shown or notified before or during use of the Service.

Fee amounts can be found on the pricing page, in the dashboard, in documentation, or in other information provided to the Business Partner.

The Fee for a Transaction follows the rate that applies when the Customer's payment is created and does not change for that Transaction. The Fee is deducted from the Transaction value when that value becomes Available Balance. Until then, the dashboard shows an estimated Fee and net amount.

A Fee may be charged to the Business Partner, the Customer, or another party depending on the applicable Service configuration and terms.

A Business Partner is responsible for ensuring the pricing and fee information shown to a Customer matches the applicable configuration and terms.

Baiyar may change Fees with prior notice.

A change may take effect sooner where it results from a change in a Payment Provider's, bank's, or tax rate, or other terms outside Baiyar's reasonable control.

Except for a recording error or where required by law, a Fee already charged on a successful Transaction is not automatically refunded solely because the Transaction is later cancelled or refunded.

13. Tax

A Business Partner is responsible for tax obligations arising from its business activity and Transactions made through the Service, to the extent that responsibility rests with the Business Partner under law.

As the seller, the Business Partner is responsible for tax arising from the sale of its products or services to the Customer, including issuing required invoices or tax documents, and collecting and remitting that tax. Baiyar does not collect or remit tax on the Business Partner's sales unless required by law.

Tax on the Fees Baiyar charges follows applicable law.

Baiyar may collect, withhold, or charge tax where required by law.

A Business Partner must provide accurate tax information or documents where required.

Baiyar does not provide tax advice to a Business Partner.

14. Balance and Transaction Records

Once a Transaction is successfully confirmed by the Payment Provider, Baiyar records the Transaction value and related obligations in the system. The Business Partner can see two Balances:

  1. the Pending Balance, which is the value of successful Transactions that the Payment Provider has not yet settled or that does not yet match the evidence of settlement; and
  2. the Available Balance, which is the value of Transactions that have been settled and match the evidence of settlement, after Fees.

Baiyar moves a Transaction's value from the Pending Balance to the Available Balance automatically, Transaction by Transaction, when the Payment Provider's evidence of settlement matches Baiyar's record. Baiyar may delay the move where the evidence has not been received, is late, is incomplete, or does not match, until the review is complete.

Baiyar does not advance funds. Baiyar does not pay the Transaction value to the Business Partner before the Payment Provider has settled those funds.

The Balance is a record of the Business Partner's claim on funds held with a Payment Provider. The Balance is not a deposit, earns no interest, is not electronic money, and cannot be transferred or used for any payment other than a Payout.

A recorded value may change due to:

  1. a Fee;
  2. tax;
  3. a refund;
  4. a cancellation;
  5. a chargeback or reversal;
  6. an adjustment;
  7. an error correction;
  8. a Business Partner obligation; or
  9. another event permitted under these Terms or an applicable agreement.

The availability of value for a Payout may depend on:

  • the Transaction status;
  • the payment method;
  • the Payment Provider's processing and settlement schedule;
  • the Payment Provider;
  • risk review;
  • a refund or chargeback;
  • a Business Partner obligation; and
  • other relevant factors.

A settlement or Payout timing estimate shown on the dashboard or in documentation is not a guarantee that settlement or a Payout will always complete by a given time.

Baiyar may correct recording errors and make necessary adjustments. Baiyar will keep relevant records of such adjustments.

A Business Partner must promptly contact Baiyar if it finds a discrepancy in Balance, Transaction, or Payout information.

15. Payouts

A Business Partner may request a Payout from the Available Balance. A Payout cannot exceed the Available Balance. Baiyar instructs the Payout and the Payment Provider executes it.

A Payout can only be sent to the Payout Account, which is an account that:

  1. is registered through the Account as the primary account;
  2. has been verified;
  3. is in a name that matches the Business Partner's registered entity (the individual's name for an individual, the company's name for a business entity);
  4. is not currently restricted; and
  5. is able to receive payment.

A Payout to an account whose name does not match is held until Baiyar has reviewed it and recorded its decision.

Baiyar may conduct additional review before processing a Payout.

Baiyar may delay, decline, or cancel a Payout where:

  1. the Available Balance is insufficient;
  2. the Payout Account has not been verified or its name does not match;
  3. information does not match;
  4. a suspected violation exists;
  5. a Transaction is under review;
  6. there is a complaint or dispute;
  7. a Transaction may be reversed;
  8. the Business Partner has not provided requested documents;
  9. a Payment Provider, bank, or competent authority requests a restriction;
  10. there is an operational or security disruption.

A Business Partner is responsible for ensuring its Payout Account information is accurate.

Baiyar is not responsible for failures or delays caused by incorrect or incomplete account information.

Payout fees, minimum thresholds, and processing estimates will be shown through the dashboard or applicable Service information.

16. Transaction and Payout Restrictions

Baiyar may restrict a Transaction or Payout where it has reasonable grounds to believe the restriction is necessary to:

  1. review suspected fraud;
  2. prevent misuse of the Service;
  3. review business activity;
  4. review a Transaction inconsistent with the Business Partner's profile;
  5. handle a complaint or dispute;
  6. handle a refund or chargeback;
  7. meet a Payment Provider's request;
  8. meet a request or obligation to a competent authority;
  9. protect the security of the Service;
  10. comply with applicable law and regulation.

A restriction may take the form of:

  • declining a Transaction;
  • delaying a Transaction;
  • restricting a payment method;
  • delaying a Payout;
  • restricting a Payout;
  • requesting additional information;
  • re-verification; or
  • another action reasonable under the circumstances.

Baiyar will seek to apply a restriction proportionate to the relevant risk and circumstances.

A restriction does not, by itself, determine ownership of or rights to any funds. The parties' rights and obligations will be determined based on the Transaction, the applicable agreement, and the law.

17. Refunds, Cancellations, and Transaction Reversals

Terms governing refunds, cancellations, and disputes may be further set out in the Refund, Cancellation & Dispute Policy and the applicable Service terms.

A Business Partner must fulfill a refund or cancellation obligation that is its responsibility under law, applicable terms, or its relationship with a Customer. As the seller, the Business Partner bears refunds, cancellations, and chargebacks on its Transactions, including the Transaction value, Payment Provider fees, and penalties charged because of them.

Where a Transaction is cancelled, refunded, or reversed by a Payment Provider, bank, payment instrument issuer, or another competent party, Baiyar may adjust the value available to the Business Partner.

An adjustment may be made through:

  1. a reduction of the Available Balance or the Pending Balance;
  2. an adjustment to Transaction records;
  3. an offset against a subsequent Transaction;
  4. a request for payment of a shortfall; or
  5. another action permitted under these Terms and applicable law.

A Business Partner must cooperate in the review of a refund, dispute, chargeback, or Transaction reversal.

18. Business Partner Obligations to the Customer

A Business Partner must provide accurate and non-misleading information to a Customer regarding:

  1. its products or services;
  2. pricing;
  3. additional fees;
  4. purchase terms;
  5. the fulfillment process;
  6. its cancellation and refund policy;
  7. customer support contact details; and
  8. other information required under applicable law or terms.

A Business Partner is responsible for obligations that are legally or contractually its responsibility toward a Customer.

The allocation of responsibility between Baiyar, a Business Partner, a Payment Provider, and other parties may vary based on the type of Service and the applicable legal relationship.

A Business Partner must not use Baiyar's name, brand, or materials in a way that misleads a Customer about the relationship between the parties.

19. Prohibited Use

A Business Partner must comply with the Acceptable Use and Prohibited Business Policy.

A Business Partner must not use the Service for, among others:

  1. prohibited gambling;
  2. money laundering;
  3. fraud;
  4. fictitious Transactions;
  5. use of proceeds of crime;
  6. trading illegal goods or services;
  7. exploitation;
  8. misuse of Personal Data;
  9. unauthorized system attacks or access;
  10. intellectual property infringement;
  11. other activity prohibited under law or Baiyar's Policy.

Certain business categories may require additional review or approval before using the Service.

A violation may result in a Transaction being declined, a Project being disabled, a Payout being restricted, or an Account being suspended or closed.

20. Account Security

A Business Partner is responsible for safeguarding the security of its:

  1. password;
  2. email;
  3. devices;
  4. sessions;
  5. API keys;
  6. access tokens;
  7. webhook secrets;
  8. other credentials;
  9. team member access.

A Business Partner must promptly contact Baiyar if:

  1. its Account is accessed without authorization;
  2. a credential is leaked;
  3. a device is lost or compromised;
  4. there is an unrecognized Transaction;
  5. there is an unauthorized change to its information;
  6. the Business Partner suspects an attack or fraud.

Baiyar may temporarily suspend access or credentials to protect an Account and to conduct a review.

Baiyar will never ask for a full password or API secret by email or live chat.

21. Personal Data

Baiyar processes Personal Data in accordance with the Privacy Policy and applicable law.

Data may be processed for purposes relevant to providing the Service, including:

  1. creating and managing an Account;
  2. conducting KYC;
  3. processing Transactions;
  4. providing Payouts;
  5. preventing fraud;
  6. maintaining security;
  7. providing support;
  8. conducting risk review;
  9. meeting legal obligations;
  10. sharing the data needed with Payment Providers to process Transactions, KYC, and Payouts.

By creating an Account, the Business Partner agrees that Baiyar shares the Business Partner's data and Transactions with Payment Providers to the extent needed for those purposes.

A Business Partner must have a lawful basis to provide Baiyar with Personal Data belonging to a business owner, representative, employee, Customer, or other party.

A Business Partner must not use Checkout, a Payment Link, or the API to collect Personal Data that is not needed for a lawful purpose.

Further terms on the types of data, processing purposes, data recipients, retention periods, data subject rights, and other matters relating to Personal Data are set out in Baiyar's Privacy Policy, consistent with the Personal Data Protection Law applicable in the Republic of Indonesia.

22. Service Availability

Baiyar strives to keep the Service available but does not guarantee that the Service will always be available without interruption or error.

The Service may be disrupted due to:

  1. maintenance;
  2. a Payment Provider disruption;
  3. a bank or payment network disruption;
  4. an internet or infrastructure disruption;
  5. a security attack;
  6. a disaster;
  7. a change in law;
  8. a third-party act; or
  9. another circumstance outside Baiyar's reasonable control.

Baiyar may carry out scheduled or emergency maintenance.

Where possible, Baiyar will provide notice of a disruption with a material impact.

A Business Partner is responsible for having a procedure to handle delayed notifications and to confirm payment status before fulfilling a Transaction where required.

23. Intellectual Property

Baiyar and its licensors own all rights in:

  1. the Baiyar name and brand;
  2. designs;
  3. software;
  4. the API;
  5. documentation;
  6. visual materials;
  7. the Service's systems and technology.

Baiyar grants a Business Partner a limited, non-exclusive, non-transferable right to use the Service while its Account is active and it complies with these Terms.

A Business Partner must not:

  1. copy or resell the Service;
  2. remove ownership notices;
  3. claim to own Baiyar's technology;
  4. use Baiyar's brand without permission;
  5. reverse engineer the Service, except where expressly permitted by law.

A Business Partner retains rights to its own name, logo, content, and business materials.

A Business Partner grants Baiyar permission to use the Business Partner's name and logo to the extent necessary to display the Service to a Customer or to provide the Service.

Using a name or logo for marketing or promotional purposes may require separate consent.

24. Account Suspension and Restriction

Baiyar may restrict or suspend an Account if:

  1. the Business Partner violates these Terms;
  2. information or documents are inaccurate;
  3. KYC cannot be completed;
  4. suspected fraud or abuse exists;
  5. the business activity changes without notice;
  6. the Business Partner does not respond to a request for information;
  7. there is a security risk;
  8. a Payment Provider restricts service;
  9. there is a request from a competent authority;
  10. the Account is inactive for an extended period;
  11. a restriction is necessary to prevent loss.

A restriction may include:

  1. declining new Transactions;
  2. disabling a payment method;
  3. disabling a Payment Link or Checkout;
  4. revoking an API key;
  5. restricting the dashboard;
  6. restricting a Payout;
  7. delaying resolution of a Transaction-related obligation.

Where circumstances permit, Baiyar will notify the Business Partner of the reason for the restriction and the information it needs to provide.

25. Account Closure by the Business Partner

A Business Partner may request closure of its Account through Baiyar's customer service.

Before closing an Account, Baiyar may require the Business Partner to:

  1. settle pending Transactions;
  2. resolve complaints and disputes;
  3. settle any outstanding obligations;
  4. revoke or disable integrations;
  5. settle other obligations;
  6. complete identity verification of the requester.

Closing an Account does not remove obligations that arose before the closure date.

Certain data may continue to be retained after an Account is closed for record-keeping, security, fraud prevention, audit, resolving Transactions, and legal compliance purposes in accordance with the Privacy Policy.

26. Account Closure by Baiyar

Baiyar may close an Account if:

  6. a Payment Provider discontinues necessary support;
  7. closure is required by law or a competent authority;
  8. the Business Partner does not settle its obligations;
  9. Baiyar discontinues the Service.

Closing an Account does not remove rights or obligations that arose before the closure.

Available Balance that is not held will be paid out to the verified Payout Account after the Business Partner's obligations are deducted. Balance that is still under review, and Transaction or Payout value still under review, will be resolved based on the outcome of the review, applicable terms, and Indonesian law.

27. Limitation of Liability

Baiyar is liable for direct losses proven to arise from Baiyar's fault or negligence, to the extent that liability is not excluded or limited by applicable law.

  8. an internet or device failure on the Business Partner's side;
  9. an act of a competent authority;
  10. an event outside Baiyar's reasonable control.

To the extent permitted by law, Baiyar is not liable for lost profits, lost business opportunities, data loss not caused by Baiyar's breach, or indirect losses that could not reasonably have been foreseen.

These Terms do not limit any liability that cannot be limited or excluded under law.

28. Business Partner Liability

A Business Partner is liable for losses, claims, costs, or liabilities arising from:

  1. a breach of these Terms;
  2. the Business Partner's business activity;

  7. the Business Partner's taxes and permits;
  8. fraud or abuse through the Business Partner's Account;
  9. false information or documents;
  10. use of the Service by a party the Business Partner granted access to.

If Baiyar receives a third-party claim directly caused by a Business Partner's act or violation, the Business Partner must cooperate and provide the information needed to resolve that claim.

These Terms do not remove a Business Partner's right to object to a claim that is not its responsibility.

29. Confidentiality

A Business Partner and Baiyar must safeguard confidential information received in the course of using the Service.

Confidential information may include:

  1. credentials;
  2. technical configuration;
  3. security information;
  4. non-public business information;
  5. special pricing information;
  6. non-public data;
  7. other information reasonably considered confidential.

The confidentiality obligation does not apply to information that:

  1. is already publicly available without a breach;
  2. was already lawfully held beforehand;
  3. was lawfully received from another party;
  4. must be disclosed under law or an order from a competent authority.

The confidentiality obligation survives closure of the Account for as long as the information remains confidential.

30. Communications and Notices

Baiyar may provide notice through:

  1. a registered email address;
  2. the dashboard;
  3. system notifications;
  4. Baiyar's site;

If a change has a material impact on a Business Partner's rights or obligations, Baiyar will provide notice before the change takes effect where required.

A change may take effect immediately where necessary to comply with law, a request from a competent authority, security, or a Payment Provider's requirements.

Continued use of the Service after a change takes effect is treated as acceptance of the updated Terms, to the extent permitted by applicable law.

32. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Indonesia.

A Business Partner and Baiyar will first attempt to resolve a dispute through good-faith communication and discussion.

A Business Partner may submit a complaint by email at support@baiyar.com.

If a dispute cannot be resolved through discussion, the parties may pursue resolution through a competent court in accordance with the laws of the Republic of Indonesia.

These Terms do not reduce any party's right to use a complaint or dispute-resolution mechanism available under law.

33. Other Terms

If a provision is held invalid or unenforceable, the remaining provisions remain in effect to the extent permitted by law.

Baiyar's failure to promptly enforce a provision does not waive its right to enforce it later.

A Business Partner may not transfer its Account or right to use the Service to another party without Baiyar's consent, except as permitted under applicable terms.

Section headings are for convenience only and do not limit the interpretation of these Terms.

These Terms are not intended to create an employment, partnership, agency, joint venture, or other legal relationship other than one expressly established under an applicable agreement or Service.

Where there is a difference between these Terms and a Service's specific terms, that Service's specific terms apply.
